2. Services Covered by This Offer

This Offer may apply to paid services including, but not limited to:

  • individual consultations;
  • Founder Strategy Sessions and other one-time strategic sessions;
  • webinars;
  • workshops;
  • masterclasses;
  • lectures;
  • educational events;
  • online or offline events;
  • short educational programs;
  • group sessions;
  • founder discussions;
  • paid participation in specific ZAGRAVA activities;
  • other one-time or standardized services offered by the Provider.

The exact content, format, date, duration, price and other specific conditions of each Service are described on the relevant website page, event page, payment page, invoice, message, proposal or other information provided to the Customer before payment.

Those specific conditions form part of the agreement between the Provider and the Customer.

3. Services Requiring a Separate Agreement

This Offer does not normally apply to individually negotiated long-term or complex engagements, including:

  • Business Partnership;
  • Strategic Partnership;
  • long-term advisory or consulting relationships;
  • customized corporate or institutional programs;
  • grant-funded implementation projects;
  • individually designed programs for companies, foundations, NGOs, universities or other organizations;
  • other engagements where the parties agree separate scope, deliverables, timelines or commercial terms.

Such services are governed by a separate written agreement, proposal or other individually agreed terms signed or expressly accepted by the relevant parties.

Where a separate agreement exists, that agreement prevails over this Offer.

4. Acceptance of the Offer

The Customer accepts this Offer by completing payment for a Service after being given access to these terms.

Payment constitutes full and unconditional acceptance of this Offer in relation to the Service purchased.

Where a payment page, invoice or other checkout process includes a checkbox, confirmation or similar acceptance mechanism, the Customer may also be required to confirm acceptance before completing payment.

The agreement between the Provider and the Customer is considered concluded when payment is successfully completed, unless specific terms for the relevant Service state otherwise.

5. Price and Payment

The price of each Service is communicated to the Customer before payment.

Prices may be stated in UAH, USD, EUR or another currency depending on the Service and the audience.

Payment may be made through:

  • an online payment provider;
  • a payment link;
  • an invoice;
  • bank transfer;
  • another payment method made available by the Provider.

Where a payment provider processes a payment in a currency different from the Provider’s settlement currency, currency conversion may be performed by the payment provider, acquiring bank, card issuer or other financial institution.

Any exchange rate, conversion fee or bank fee applied by third parties is governed by their own terms.

The Provider may change prices for future Services at any time. A price change does not affect a Service already paid for.

6. Confirmation of Payment

After successful payment, the Customer may receive confirmation through the payment provider, email, invoice, receipt or other electronic means.

The Provider may request additional information reasonably necessary to identify the payment, register the Customer or provide access to the relevant Service.

7. Delivery of Services

Services may be provided online, offline or in a hybrid format.

Depending on the Service, delivery may include:

  • a live video session;
  • access to an online event;
  • an in-person meeting;
  • educational materials;
  • recordings, where expressly included;
  • access to a temporary group or platform;
  • another format described before purchase.

The Provider will make reasonable efforts to deliver the Service according to the description provided at the time of purchase.

The Customer is responsible for having suitable internet access, devices, software or travel arrangements where these are reasonably required to participate.

8. Rescheduling and Customer Cancellations

Specific cancellation or rescheduling rules may be stated for individual Services and, where provided, form part of the agreement.

For individually scheduled consultations or Strategy Sessions, the Customer should notify the Provider as early as possible if rescheduling is required.

Unless different conditions are communicated before payment, rescheduling requests made at least 24 hours before the scheduled session may be accommodated subject to availability.

If the Customer does not attend a scheduled individual session and has not provided reasonable advance notice, the Service may be considered provided and the payment may be non-refundable.

For events, workshops, webinars and group programs, cancellation conditions may depend on the nature of the particular Service.

9. Provider Changes or Cancellation

The Provider may reasonably change the date, time, speaker, format, venue or other non-essential details of a Service where necessary.

If the Provider cancels a paid Service and does not offer a reasonable alternative, the Customer will be entitled to a refund of the amount paid for the cancelled Service.

Where appropriate, the Customer may instead choose to transfer the payment to another available Service by agreement with the Provider.

10. Refunds

Refund conditions may vary depending on the type of Service and will be interpreted in accordance with applicable law.

Where specific refund terms are communicated before purchase, those terms apply.

Unless otherwise required by applicable law, amounts paid for a Service that has already been fully delivered are non-refundable.

Digital or educational materials already delivered or accessed may also be non-refundable where permitted by applicable law.

Nothing in this Offer limits any mandatory consumer rights that cannot legally be waived.

11. Educational and Business Nature of Services

Many ZAGRAVA Services involve business education, strategy, entrepreneurship, leadership, personal development, founder support or related topics.

The Provider shares knowledge, experience, frameworks, questions, perspectives and recommendations intended to support independent decision-making.

The Provider does not guarantee any specific commercial, financial, professional or personal outcome.

Examples discussed during Services should not be interpreted as promises of future results.

The Customer remains responsible for decisions made in their own business, career, finances, investments, contracts, health or personal life.

Where appropriate, the Customer should obtain advice from relevant legal, financial, tax, medical or other qualified professionals.

12. Customer Responsibilities

The Customer agrees to:

  • provide accurate information reasonably required to deliver the Service;
  • participate respectfully in group or community settings;
  • comply with reasonable organizational instructions;
  • respect the rights, privacy and intellectual property of other participants;
  • avoid recording or distributing private sessions unless permission has been granted;
  • use materials provided through the Service only as permitted by this Offer and applicable law.

The Provider may remove a participant from an event, program or other Service where serious misconduct, harassment, abuse or disruption materially affects other participants or the proper delivery of the Service.

13. Intellectual Property

Unless otherwise stated, educational materials, presentations, frameworks, recordings, written content, methodologies, graphics and other original materials provided as part of the Services are owned by or licensed to the Provider.

This includes proprietary ZAGRAVA materials and concepts associated with Glow Frequency™, the Five Glow Dimensions™, and other original frameworks where applicable.

Payment for a Service gives the Customer the right to use the materials for their own personal or internal business learning purposes.

It does not transfer ownership of intellectual property.

Materials may not be reproduced, resold, published, distributed, sublicensed, used to create competing educational products or presented as the Customer’s own work without prior permission, except where applicable law permits otherwise.

14. Confidentiality in Individual Services

During consultations, Strategy Sessions or other individual work, the Customer may share confidential business or personal information.

The Provider will use reasonable care to treat such information confidentially and will not intentionally disclose it publicly without permission, except where disclosure is required by law or reasonably necessary to protect legal rights or safety.

The Customer remains responsible for determining what information they choose to disclose.

15. Group Sessions and Other Participants

Some Services involve interaction with other participants.

The Provider may ask participants to respect confidentiality, but cannot guarantee the conduct of independent participants.

Customers should therefore exercise appropriate judgment when sharing commercially sensitive, confidential or personal information in group environments.

16. Recordings, Photos and Testimonials

A Service may sometimes be recorded or photographed.

Where recordings or photographs are intended for public or promotional use, the Provider will seek appropriate permission where required.

Testimonials, quotes, photographs, videos or other participant content will not automatically become the unrestricted property of ZAGRAVA merely because the person participated in a paid Service.

Separate permission may be requested for promotional or commercial use.

17. Third-Party Platforms

Services may be delivered using third-party platforms or providers, including video conferencing services, event platforms, payment providers, Skool or other digital tools.

The Customer may be required to use such third-party services and may also be subject to their terms and privacy policies.

The Provider is not responsible for interruptions, outages or failures caused solely by independent third-party platforms, but will make reasonable efforts to provide an alternative where this materially affects delivery of a paid Service.

18. Force Majeure

The Provider will not be responsible for delay or failure to perform caused by circumstances beyond reasonable control, including war, hostilities, natural disasters, government restrictions, major infrastructure outages, telecommunications failures, public emergencies or similar force majeure events.

Where such circumstances materially prevent delivery of a Service, the Provider will make reasonable efforts to reschedule, modify the format or offer another appropriate solution.

19. Personal Data

Personal information connected with purchasing or receiving Services is processed in accordance with the ZAGRAVA Privacy Policy and applicable law.

Payment providers and other third-party platforms may separately process payment or technical data according to their own policies.

20. Limitation of Liability

To the extent permitted by applicable law, the Provider is not responsible for indirect, incidental or consequential losses arising from business decisions, commercial outcomes or other actions taken independently by the Customer after participating in a Service.

Nothing in this Offer excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

21. Governing Law

This Offer and agreements concluded under it are governed by the laws of Ukraine, while preserving any mandatory consumer protections that may apply to a Customer under applicable law.

Any dispute should first be addressed through good-faith communication between the Customer and the Provider.

If a resolution cannot be reached, the dispute will be handled according to the applicable laws and jurisdiction rules.

22. Changes to This Offer

The Provider may update this Offer as ZAGRAVA, its Services, payment methods or applicable legal requirements evolve.

The version applicable to a particular purchase is the version that was publicly available or otherwise provided to the Customer when the relevant payment was made.
